These terms govern the OpenCart development, technical support, maintenance, hosting and custom project services offered under the OpencartExtra.com brand. By submitting a request or approving a quotation, the customer accepts these terms.
1. Parties and Definitions
Provider: W3 Bilişim Teknolojileri ve Yazılım Hizmetleri Limited Şirketi (Kartal Tax Office 7881052037, MERSİS 0788-1052-0370-0001), Cevizli Mah. Mustafa Kemal Cad. Hukukçular Tower Sitesi A Blok No: 66A D:111 Kartal / Istanbul, Türkiye — “W3” or “OpencartExtra”. Customer: any natural or legal person who submits a request, approves a quotation or pays for services.
“Services” means W3’s OpenCart development, technical support, maintenance & optimization, managed hosting and custom project work; “Quotation” means W3’s written effort estimate and price for a specific request; “Approval” means the Customer’s acceptance of a Quotation by e-mail, form or other written channel.
2. Scope and Quotation Process
W3 does not sell ready-made packages, themes or modules. Each request is analyzed, a Quotation with an hourly effort estimate is issued, and work starts only upon Approval. Estimated hours may vary with the actual work required; W3 informs the Customer and obtains new approval before exceeding the estimate.
Requests outside the Quotation are quoted separately. Additional time caused by incomplete or inaccurate information from the Customer is billable.
3. Fees and Payment
The standard rate is USD 33 per hour. During the launch campaign all services are billed at USD 10 per hour (excl. VAT); campaign duration and conditions are announced on the website and may be ended with prior notice. Approved Quotations keep the rate at which they were approved.
Invoices are issued in TRY or USD (TRY conversions at the Central Bank of Türkiye selling rate on the invoice date) and are payable within 7 days. A 50% advance may be requested for projects above USD 500. Monthly plans are invoiced in advance at the start of each month; unused hours roll over for 60 days. Late payment may lead to suspension and statutory interest.
4. Customer Obligations
The Customer shall provide accurate access credentials (admin, FTP/SSH, hosting panel) in time, ensure a current backup exists or request one from W3, hold valid licenses for themes, extensions and content in use, and answer W3’s questions within a reasonable time.
The Customer is solely responsible for the legality of products and content sold in its store. W3 may refuse service for stores containing unlawful content.
5. Delivery, Testing and Acceptance
Development is performed on a staging environment wherever possible, tested and presented for preview. Work is deemed accepted unless the Customer objects in writing within 7 days of delivery. Defects attributable to W3 and discovered after acceptance are fixed free of charge for 30 days.
Issues caused by changes in third-party extensions, themes, payment providers or marketplace APIs are outside warranty and quoted separately.
6. Intellectual Property
Ownership of custom code developed and paid for by the Customer passes to the Customer upon full payment; code is delivered under version control. W3’s general-purpose libraries, tools and know-how remain W3’s property, licensed to the Customer on a perpetual, non-exclusive basis. OpenCart is a trademark of OpenCart Ltd.; W3 is an independent service provider.
7. Confidentiality
Both parties keep commercial, technical and personal information learned during the engagement confidential and use it solely to perform the Services. W3 stores credentials encrypted and deletes them upon request when work ends. A separate NDA is signed on request. Confidentiality survives termination for 3 years.
8. Limitation of Liability
W3 performs the Services with professional care but does not guarantee e-commerce revenue and is not liable for data loss or indirect damages. W3’s total liability is limited to the fees paid under the relevant Quotation in the preceding 3 months. W3 is not liable for damages arising from missing backups, third-party outages, changes made by the Customer or third parties, or force majeure.
9. Term, Termination and Suspension
One-off work ends with delivery and payment. Monthly plans may be cancelled at any time by written notice before the next billing period; service continues to the end of the paid period. Either party may terminate if a material breach is not remedied within 15 days. W3 may suspend service for late payment or misuse.
10. Governing Law and Disputes
These terms are governed by the laws of the Republic of Türkiye. Disputes are first negotiated in good faith; failing that, the Istanbul Anatolian Courts and Enforcement Offices have jurisdiction. Mandatory consumer protection rules remain unaffected.
11. Changes and Contact
